Terms of Engagement — BuySideCheck Due-Diligence Reports
Draft for attorney review. Governing-law, venue and entity details to be completed by the signer.
1. Who we are. BuySideCheck is operated by a Delaware limited liability company ("we", "us"; full legal name stated on every invoice and report). Reports are prepared with proprietary analytical tooling and reviewed and signed by the attorney named in the Report, an attorney admitted in the Republic of Argentina and not admitted to practice in any U.S. state or other jurisdiction.
2. What you are buying. A written analytical review ("Report") of a specific online business you are considering acquiring, in the scope you selected (Red Flag Report or Full Report) as described on our website on the date of your order. The Report is based solely on the data, exports, access and statements made available to us by you or by the seller.
3. What the Report is not. The Report is not an audit, a quality-of-earnings review under any professional standard, a valuation opinion, or legal, tax, accounting or investment advice. Nothing in the Report creates an attorney–client relationship. Any suggested deal terms are drafting notes for you to take to counsel admitted in your jurisdiction, who must review the purchase agreement before you sign it. The decision to buy, and the price you pay, remain yours.
4. Access and cooperation. You are responsible for obtaining the seller's exports or read-only access. If the seller provides incomplete or late data, we deliver the Report on what we have and state what could not be verified. Turnaround (48 hours for Red Flag, 72 hours for Full) runs from the moment we receive usable data, not from payment.
5. Fees and refunds. Fees are payable in advance by card. If we are unable to deliver a Report for reasons within our control, we refund the fee in full. If the seller refuses all access after payment, we refund 50% and deliver a short listing-only review. No refund is owed because you disagree with the verdict.
6. Confidentiality. We treat everything you and the seller provide as confidential, use it only to prepare your Report, and delete deal data 30 days after delivery unless you ask us to keep it. We will sign a reasonable NDA provided by you or the seller. We may describe engagements in anonymized, aggregated form.
7. Independence. We do not accept fees, referral payments or equity from sellers or marketplaces in connection with a Report, and we will tell you if we have any prior relationship with the seller.
8. Reliance and limitation of liability. The Report is for your use only and may not be shared with or relied upon by third parties without our written consent. To the maximum extent permitted by law, our total liability arising out of or relating to a Report, however caused, is limited to the fee you paid for that Report. We are not liable for indirect, consequential or lost-profit damages, or for losses arising from data that was false, altered or withheld by the seller.
9. No guarantee. Businesses change hands with risks that no review can eliminate. We do not guarantee the accuracy of seller-supplied data, future revenue, platform decisions, or the outcome of any acquisition.
10. Your representations. You confirm that you are evaluating the business for your own account or for an entity you control, that you have the seller's permission to share the data with us, and that you are not using the Report for any unlawful purpose.
11. Intellectual property. You receive a licence to use the Report for the transaction it concerns. Our templates, tooling and methods remain ours.
12. Governing law and disputes. These terms are governed by the laws of the State of Delaware, United States. Any dispute will be resolved by the state and federal courts located in the State of Delaware. If any clause is unenforceable, the rest remains in force.
